1. ACCEPTANCE OF TERMS
By accessing or using the RFPcomply platform ("Service"), creating an account, or purchasing a license, you ("Customer," "User," or "You") agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a legal entity (e.g., a government contracting agency), you represent that you have the authority to bind such entity.
2. NATURE OF THE SERVICE: "FIRST DRAFT" UTILITY
2.1. Productivity Aid Only.
RFPcomply is an AI-powered text extraction utility designed to accelerate the creation of preliminary compliance matrices. You expressly acknowledge that the Service is a productivity tool intended to create a "rough draft" and is not a substitute for professional legal advice, compliance consulting, or a manual, line-by-line review of government solicitations.
2.2. Stochastic Nature of AI.
The Service utilizes Large Language Models (LLMs), specifically Google Gemini, which are probabilistic by nature. You acknowledge that:
- The Service may produce "hallucinations," false positives, or omissions.
- Citations and page numbers are approximations and may not perfectly align with the source PDF.
- The Service may not identify every "Shall" statement, deliverable, or Performance Work Statement (PWS) requirement.
3. USER OBLIGATIONS: THE "HUMAN-IN-THE-LOOP"
3.1. Mandatory Verification.
You agree that you constitute the "Human-in-the-Loop." It is your sole responsibility to audit and verify every row of data exported by the Service against the original government solicitation (PDF).
3.2. Assumption of Risk.
You assume all risks associated with the use of the Service, including the risk of submitting a non-compliant, incomplete, or technically unacceptable proposal to a government or commercial entity. RFPcomply shall not be liable for any rejected bids, lost contracts, or "deficiency notices" resulting from reliance on the Service's output.
4. DATA SECURITY, PRIVACY & AI TRAINING
4.1. Stateless Architecture & TTL Enforcement.
RFPcomply operates on a "Zero-Retention" architecture designed to minimize data residency.
- Volatile Memory Processing: You acknowledge that your documents are streamed directly into an isolated cloud environment using Volatile Memory (RAM-disk). We warrant that your raw files are never written to permanent storage buckets (such as AWS S3 or Google Cloud Storage).
- Infrastructure-Level Destruction: We do not rely solely on manual deletion policies. We utilize infrastructure-level Time-to-Live (TTL) enforcement. All analysis jobs are hard-coded to expire and self-destruct. Consequently, all data is programmatically purged immediately upon process completion or strictly enforced to expire within sixty (60) minutes, whichever occurs first.
- No Recovery: Due to this cryptographic unlink and permanent wiping, RFPcomply cannot recover lost data. You are solely responsible for exporting your CSV immediately. There is no backup data.
4.2. Artificial Intelligence & Data Isolation.
RFPcomply utilizes the enterprise-grade API of Google Gemini.
- No Model Training: We warrant that, pursuant to our enterprise agreements with our AI providers, your data is NOT used to train Google's AI models or improve their foundation models. Your proprietary bid data remains isolated.
- Confidentiality: We do not view, access, or share your uploaded PDFs with any third parties other than the automated API processing required to render the Service.
5. PROPRIETARY RIGHTS
5.1. Your Data.
You retain all ownership rights to the PDF documents you upload and the CSV files you download. RFPcomply claims no intellectual property rights over your bid strategies or proposal content.
5.2. Service License.
RFPcomply grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the Subscription Term, subject to payment of applicable fees.
6. PAYMENT AND REFUNDS
6.1. Subscription.
Access to the Service is provided on an annual license basis. Payment is processed securely via Stripe.
6.2. No Refunds.
Due to the digital nature of the Service and the significant server costs associated with token processing, all sales are final. We do not offer refunds for partial use or dissatisfaction with AI outputs.
7. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. RFPCOMPLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- ACCURACY: WE DO NOT WARRANT THE COMPLETENESS OR RELIABILITY OF EXTRACTED TEXT OR "SHALL" STATEMENTS.
- FITNESS FOR A PARTICULAR PURPOSE: WE DO NOT WARRANT THAT THE SERVICE WILL ENSURE COMPLIANCE WITH FEDERAL ACQUISITION REGULATIONS (FAR), DFARS, OR ANY SPECIFIC GOVERNMENT STANDARD.
8. LIMITATION OF LIABILITY
8.1. Indirect Damages.
IN NO EVENT SHALL RFPCOMPLY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST GOVERNMENT CONTRACTS, BID PROTEST COSTS, LOSS OF REVENUE, OR REPUTATIONAL HARM.
8.2. Liability Cap.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS SHALL BE STRICTLY LIMITED TO THE FEES ACTUALLY PAID BY YOU TO RFPCOMPLY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM (E.G., THE COST OF THE ANNUAL LICENSE).
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless RFPcomply, its officers, directors, and employees from any claims, damages, liabilities, and expenses (including attorneys' fees) arising out of your use of the Service, your violation of these Terms, or any proposal submitted by you utilizing data from the Service.
10. GOVERNING LAW AND DISPUTE RESOLUTION
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Tampa, Florida, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

1. INTRODUCTION
RFPcomply ("we," "us," or "our") is committed to a "Privacy by Design" approach. We understand that our customers upload highly sensitive, proprietary, and classified-adjacent information (Government RFPs, SOWs, and PWSs). This Privacy Policy explains how we handle—and more importantly, how we do not handle—your data.
2. INFORMATION WE COLLECT
While our architecture is designed to be "Zero-Retention" regarding your documents, we must collect basic business information to operate the account.

A. Account Information (Retained)
What: Name, email address, company name, and encrypted password.
Why: To manage your annual license and secure login access.

B. Payment Information (Processed, Not Stored)
What: Credit card details and billing addresses.
How: All payments are processed via Stripe. RFPcomply does not store your full credit card number on our servers.

C. Document Data (Ephemeral / Not Retained)
What: The PDF files you upload and the CSV data extracted.
How: These files are processed in volatile memory. We do not store, archive, or backup your uploaded documents. Once your session ends, this data is permanently deleted.
3. HOW WE USE AI (GOOGLE GEMINI)
We use the Google Gemini Enterprise API to analyze your documents.
- Data Processing: Your PDF text is sent to the API solely for the purpose of extraction and formatting.
- No Training: We have configured our API usage to ensure that your data is not used to train Google’s machine learning models. Your inputs remain private to your instance of the processing.
4. THIRD-PARTY SERVICES
We use a limited set of trusted third-party providers:
- Stripe: For secure payment processing.
- Google Cloud / Vertex AI: For the AI processing engine (Gemini Pro 2.5).
- Plausible Analytics: For website usage analytics. Plausible is a privacy-first tool that does not use cookies and does not track personal data across the web.
5. COOKIES AND TRACKING
We do not use invasive tracking pixels (such as the Meta Pixel) or cross-site trackers. We use strictly necessary cookies to keep you logged in to your private portal during your session.
6. DATA SECURITY
We employ industry-standard encryption (SSL/TLS) for data in transit. However, because we operate a "Zero-Retention" service, the ultimate security of your data relies on you downloading your exports immediately. We cannot recover lost data because we do not keep it.
